Welcome to Medome, a digital service provided by SOAP, Inc., (“Medome” “we,” “our,” or “us”). These Terms of Service (“Terms” or “Agreement”) form a legally binding contract between you and Medome. They govern your access to and use of our websites, mobile applications, APIs, digital tools, and all related services (collectively, the “Service”).
By using the Service, you confirm that you have read, understood, and agreed to these Terms, as well as our Privacy Policy. If you do not accept these Terms, you may not access or use the Service. This Agreement also incorporates any additional terms and conditions posted by Medome through the Service.
Acknowledgment: You acknowledge that this Agreement is between you and Medome only, and it supersedes any prior agreements, understandings, or representations, whether written or oral, relating to your use of the Service.
1. Eligibility and Accounts
You must be at least 18 years old to use the Service. Use by anyone younger is prohibited, unless specifically allowed with parental consent for ages 16-18. You confirm that all information you provide is truthful and accurate. Use of the Service without legal capacity is strictly prohibited.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any security breach or unauthorized use. We will not be liable for any losses caused by such unauthorized use. You must not use another person’s account.
You cannot create profiles for other individuals, such as your children, to use the Service under your account.
2. Service Scope and Medical Disclaimer
Medome provides AI-powered tools for informational, communication, or workflow enhancement purposes only. We do not provide medical advice, diagnosis, or treatment. The materials we provide (text, graphics, virtual conversations, etc.) are for informational purposes only and are not a substitute for professional medical advice or treatment. You should never disregard professional medical advice or delay seeking it because of something you have read while using Medome.
2.1 Limitations on Use
The Service must not be used:
To diagnose, cure, mitigate, prevent, or treat medical conditions.
In emergencies or time-sensitive scenarios. If you have a medical emergency, call 911 immediately.
As a substitute for a licensed professional’s medical care.
For any mental health crisis or suicidal ideation.
2.2 Clinical Services and Telehealth
Through a Service partner, you may interact with licensed Providers for virtual consultations, assessments, and treatment. However, Medome is not a provider of clinical advice or a healthcare provider itself. The Provider-patient relationship is between you and the Provider, who are not affiliated with Medome.
Risks of Telehealth: You understand that telehealth involves using electronic communications to get healthcare remotely and that a Provider may not have all the information they would from an in-person exam. You have the right to change your mind and seek in-person care at any time.
Prescription Policy: Providers on the Service can only prescribe medications at their professional discretion and will not prescribe U.S. Drug Enforcement Administration controlled substances. Any prescriptions are for your personal use.
Not an Insurance Product: Medome and its Providers are not insurance companies. The Service is not a health insurance policy and we do not guarantee that your use of the Service will be covered by your health insurance.
3. Prohibited Use and User Content
You are granted a limited, non-transferable license to use the Service for your personal, non-commercial use only. You agree not to engage in any prohibited activities, including:
Using the Service for any unlawful, harmful, or misleading purpose.
Using the Service for any commercial or business purpose.
Copying, distributing, “scraping,” or using automated systems like “robots” to access the Service.
Interfering with the system’s security or integrity.
Scraping, mining, reverse engineering, or attempting to extract source code or AI models.
Posting any content that is harmful, illegal, or offensive.
You may submit content such as profile information, documents, or comments (“User Content”). You own your User Content, but you give Medome a broad, royalty-free license to use it for any purpose, including marketing and promotion. You are solely responsible for your User Content and promise that it does not violate any laws or the rights of others.
You are solely responsible for the accuracy, legality, and security of any files or medical exams you upload. If you choose to share documents generated by the Service with third parties, you are fully responsible for such disclosures.
4. Data Use, Privacy, and Compliance
Your use of the Service is subject to our Privacy Policy, which outlines our data handling practices. You retain ownership of the data you provide.
You hereby grant us a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, and assignable license to use, de-identify, aggregate, and analyze that data for research, improvement, and operational purposes. We may generate aggregated or anonymized data, and we may use and disclose it without restriction.
We comply with applicable data privacy regulations and maintain industry-standard security protocols. Where applicable, we will enter into a Business Associate Agreement (BAA) for HIPAA compliance. You acknowledge that you provide your information at your own risk, as we cannot guarantee that unauthorized third parties will never defeat our security measures.
5. Intellectual Property
All content, technology, software, and materials provided through the Service are owned by us or our licensors and are protected by copyright, trade secret, patent, and other laws. You may not use our trademarks, trade names, or branding without our prior written permission. You are granted a limited license to access the Service for its intended purpose and may not copy, modify, distribute, or reverse engineer the Service or use it to build competing products, train or develop any large language models or related technology, or use the Service for any commercial purpose without the written consent of Medome.
We do not guarantee the accuracy, completeness, or reliability of any outputs, results, or information generated by the Service, and you agree that you must validate such information independently.
6. Paid Services and Third-Party Materials
The Service may offer paid goods and services, including one-time payments and Membership Plans (“Paid Services”). Fees for Paid Services are subject to change. All purchases for Paid Services are final. They may be refundable at Medome’s discretion, unless required by law.
Membership Plans are not health insurance policies. Your plan may auto-renew, and you authorize us to charge your payment method for each renewal. All payments are processed through Stripe.
The Service may contain links to third-party websites or services. We do not endorse or take responsibility for any Third-Party Materials. Your use of these materials is at your own risk and is subject to their own terms and privacy policies.
Third-Party Services: In addition to Stripe, we may rely on third parties for hosting, analytics, storage, authentication (e.g., Google, Apple), and customer support. Your use of such services is subject to their independent terms and privacy policies, and Medome is not responsible for their practices.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITH NO WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. We do not guarantee that the Service will be uninterrupted, secure, or free of errors. YOU USE THE SERVICE AT YOUR OWN RISK.
We do not warrant that the Service will always be available, uninterrupted, or error-free, and we reserve the right to modify, suspend, or discontinue any part of the Service at any time without liability.
8. Limitation of Liability and Indemnification
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES. We are not responsible for any damage, loss, or injury resulting from hacking, tampering, or unauthorized access to your account.
In no event will our total liability exceed the greater of one U.S. dollar ($1) or the amount you paid us in the twelve months preceding the claim. We are not liable for any actions taken or not taken based on the output of the Service.
You agree to defend and hold us harmless from any and all claims, damages, or expenses (including legal fees) that arise from your use of the Service, your violation of this Agreement, or any unauthorized use of your account.
9. Electronic Communications: You consent to receiving all communications from us electronically.
This includes communications sent by email or SMS, which may be used for account-related notices, security alerts, updates about the Service, and, where permitted by law, promotional or marketing communications. You may opt out of promotional or marketing communications at any time by following the unsubscribe instructions provided in the message or by contacting us directly. However, you cannot opt out of essential service-related communications (such as account security notices).
9.1 Marketing and Promotional Communications
By creating an account or providing your email address through the Service, you acknowledge and agree that Medome may send you marketing emails, promotional content, newsletters, product announcements, surveys, special offers, and other communications intended to inform you about our Services (“Marketing Communications”).
Legal Basis and Consent
Where required by applicable law, we will obtain your consent before sending Marketing Communications. In jurisdictions that permit it, you acknowledge that Medome may rely on its legitimate interest in promoting and improving the Service as the legal basis for sending such communications.
Right to Opt Out
You may opt out of receiving Marketing Communications at any time by clicking the “unsubscribe” link contained in any such email or by contacting us at service@medome.ai.
Opting out of Marketing Communications does not affect your ability to receive essential Service-related communications, including account notices, security alerts, or legal updates, which you cannot opt out of.
Use of Third-Party Communication Tools
We may use third-party vendors (including email delivery platforms, marketing automation systems, analytics providers, and customer communication tools) to send and manage Marketing Communications. These vendors may process your contact information solely on our behalf and in accordance with our Privacy Policy.
10. Termination, Modifications, and General Terms
This Agreement is effective until terminated by either you or us. We may suspend or permanently terminate your access to the Service at any time, with or without notice. We may also update these Terms at any time, and your continued use of the Service after changes constitutes your acceptance.
Governing Law: This Agreement is governed by the laws of the State of Florida. The Service is primarily directed to users located in the United States, and we make no representation that it is appropriate or available for use in other jurisdictions.
Users who access the Service from outside the United States do so at their own risk and are responsible for compliance with local laws.
You acknowledge that the Service uses cloud-based infrastructure, which may involve the transfer and processing of your information in multiple jurisdictions, but all legal claims relating to the Service remain subject to U.S. law.
Mandatory Arbitration: You agree to resolve any dispute with us through binding arbitration and waive your right to a class action or jury trial. You may opt out of this provision within 30 days of first accepting these Terms by emailing service@medome.ai
WAIVER OF CLASS ACTIONS AND REPRESENTATIVE CLAIMS
You and Medome agree that any dispute resolution proceedings, whether in arbitration or in court, shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You hereby waive any right to bring or participate in a class action, collective action, private attorney general action, or any other representative proceeding against Medome. Likewise, Medome waives the right to participate in any such actions against you.
Electronic Communications: You consent to receiving all communications from us electronically.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the full agreement between you and Medome.
Severability: If any provision of these Terms is found unenforceable or invalid, the remaining provisions will remain in full force and effect.
Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Headings: Section headings are provided for convenience only and have no legal effect.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction
Account Termination: To permanently close your account, you must contact our support team at service@medome.ai. Account termination will only be processed through support.
